This End User License Agreement (“Agreement”) is a legal contract between you (“User”, “you”) and SCALE Healthcare (“Company”, “we”, “us”, “our”) governing your use of any software, platform, or digital tools (collectively, the “Software”) provided by SCALE Healthcare through https://www.scale-healthcare.com or related services.
License Grant
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Software solely for your internal business use and in accordance with this Agreement.
Restrictions
You may not:
Copy, modify, or create derivative works of the Software
Reverse engineer, decompile, or attempt to extract the source code
Rent, lease, sell, or sublicense the Software
Use the Software to build a competing product or service
Use the Software for any unlawful or unauthorized purpose
Ownership
The Software is owned by SCALE Healthcare and is protected by intellectual property laws. You acknowledge that all rights, title, and interest in and to the Software remain with SCALE Healthcare.
User Responsibilities
You are responsible for maintaining the confidentiality of any access credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use.
Updates and Maintenance
We may provide updates, bug fixes, or enhancements to the Software. These updates may be automatically installed without notice, and you agree to receive such updates.
Disclaimer of Warranties
The Software is provided “as is” without warranties of any kind, either express or implied. We do not guarantee that the Software will be error-free or uninterrupted.
Limitation of Liability
To the maximum extent permitted by law, SCALE Healthcare shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Software.
Termination
This Agreement is effective until terminated. We may suspend or terminate your access to the Software at any time, with or without cause. Upon termination, you must stop using the Software and delete any copies in your possession.
Governing Law
This Agreement is governed by the laws of the state of New York, without regard to its conflict of laws principles.
